1. Acceptance and Scope
By creating an account, signing in, using a hosted booking page, or otherwise using Proper, you agree to these Terms and our Privacy Policy. If you use Proper on behalf of a company, you represent that you can bind that company.
2. Service Description
Proper provides software for operational workflows, which may include:
- Account, role, and tenant-scoped workspace access.
- Public booking pages and customer booking intake.
- Job creation, assignment/routing, and calendar scheduling.
- Customer records, notifications, and support ticket flows.
- Payments, refunds/voids, payouts, and related finance records.
- Live mode and isolated test mode operational workflows.
3. Accounts and Security
- You are responsible for keeping credentials confidential and for activity under your account.
- You must provide accurate information and keep profile/contact data reasonably current.
- Proper enforces authentication safeguards including rate limiting on login/signup APIs.
- We may suspend or restrict access to protect platform security, tenant integrity, or legal compliance.
4. Roles, Permissions, and Tenant Boundaries
- Access is role-based (for example owner/admin/manager/workforce) and feature permissions differ by role.
- Data is intended to remain scoped to each company tenant.
- You may not attempt to access data outside your tenant or bypass permission controls.
5. Booking, Payment, and Cancellation Terms
- Proper supports full, deposit, and invoice-oriented billing options depending on company configuration.
- Company-specific payment defaults, invoice terms, and cancellation/refund handling can apply to customer bookings.
- Some cancellations may be processed automatically; others may be queued for manual review depending on policy mode and timing.
- You are responsible for applicable taxes, fees, and charges associated with your use of payment features.
6. Acceptable Use
You agree not to:
- Use Proper for unlawful, fraudulent, abusive, or deceptive activity.
- Interfere with platform availability, security controls, or APIs.
- Upload or submit malicious code, malware, or exploit traffic.
- Scrape or export data in violation of applicable law or contract.
7. Third-Party Services
Proper integrates with third-party providers (for example payment, email, cloud storage, maps, and messaging infrastructure). Your use of integrated features may also be subject to those providers’ terms and policies.
8. Intellectual Property
Proper and related software, branding, and documentation are owned by Proper and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service.
9. Availability and Changes
- We may modify features, limits, and workflows as the platform evolves.
- Planned or emergency maintenance may temporarily affect access.
- Certain features may be unavailable based on role, plan, region, or technical dependencies.
10. Disclaimers and Limitation of Liability
Proper is provided on an “as is” and “as available” basis to the maximum extent allowed by law. To the maximum extent permitted by law, Proper disclaims implied warranties and is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
11. Indemnification
You agree to indemnify and hold Proper harmless from claims, liabilities, and expenses arising from your use of the service, your content/data, or your violation of these Terms or applicable law.
12. Termination
You may stop using Proper at any time. We may suspend or terminate access if required to protect users, enforce these Terms, or comply with legal obligations.
13. Governing Terms and Updates
These Terms may be updated periodically. Continued use after updates become effective constitutes acceptance of the revised Terms.
